About the team and role

The Governance Manager will be responsible for supporting the Head of Compliance, who also acts as the Company Secretary, in managing the activities of the Corporate Governance Function, overseeing Inigo’s Governance Framework and supporting certain activities related to the Compliance function.

The role has five key areas of responsibility, which are covered in more detail in this job description. In addition, working regulatory knowledge of the Lloyd’s Market and familiarity with topics such as Financial Crime, Sanctions and Consumer Duty will be required of the successful candidate.

This is an opportunity to join an exciting organisation and to be integral in the build out of Inigo’s Compliance and Corporate Governance function, with a key role in supporting the business and helping the business to achieve its strategy and objectives.

The successful candidate will do this by:

Core Responsibilities

Helping to oversee the governance and committee framework, including overseeing the Board and Board Committees Terms of Reference;nAssisting in the organisation of Board meetings, arranging meeting agendas, materials, and taking minutes throughout;nManaging the annual review of relevant policies that need review or approval by the Board or the Executive Committee;nFiling the company accounts and confirmation statements, as well as any other returns that may be required at Companies House and Lloyd’s of London; andnActing as the lead on any projects which relate to governance more generally.

Administration Responsibilities (supported by Governance Assistant)

Supporting in the diary management for all of the Board and Executive Committee meetings, including the management of required changes and/or set up of any ad-hoc meetings, as required;nEstablishing the Board and Executive Committee calendar for the upcoming year(s), including liaison with Directors and external presenters; and

Corporate Governance Responsibilities

Maintaining all corporate and company registers and files, ensuring that all changes are recorded promptly and accurately;nKeeping up to date with, provide advice on changes in the legal environment that may impact the governance framework, and oversee the implementation of any changes that may be required;nArranging the renewal of corporate insurances;nCarrying out Board and Board Committee Effectiveness reviews;nDelivering training to Directors on any changes to the corporate landscape that may impact Inigo’s Governance Framework; andnManaging any changes concerning company shareholdings/shareholders or associated agreements.

Regulatory Governance

Being responsible for reviewing and updating the Management Responsibilities Map (‘MRM’) and ensure that it is appropriately reviewed and approved;nProviding input into the oversight of governance-related risks;nProviding input into the Lloyd’s Principles Attestation;nEnsuring that Fit & Proper re-assessments are undertaken for all persons who are Senior Management Functions (‘SMFs’) and Certified Persons (‘CPs’);nSupporting HR and the wider Compliance Function with applications for new SMFs, or Fit & Proper assessments for new CPs;nAssisting in the delivery of any required actions arising from internal or external regulatory reviews or audits; andnReviewing SMF’s Statements of Responsibilities, ensuring that they are kept up-to-date.

Regulatory / Advisory

Assisting the Compliance Function in preparing for regulatory meetings or reviews (e.g. help to prepare packs for interviewees);nSupporting the delivery of SMCR or similar training;nAssisting the wider Compliance Function in the delivery of regulatory advice, relating, but not limited to, the legal and regulatory frameworks applicable to the company, Financial Crime & Sanctions and Data Protection;nSupporting the Compliance Function in reviewing legal documentation when onboarding or renewing relationships with vendors;nSupporting the Compliance Function in reviewing Non-Disclosure Agreements; andnSupporting the Compliance Function in the delivery of the Compliance Plan.

General

Other ad hoc tasks as required from time to time.

To do this, we’re going to need you to have:

Solid experience (expect at least 5 years) in Compliance within a financial services regulated entity within the Lloyd’s Market;nCorporate Governance experience gained in a financial services regulated entity, with the preference of this being in the Lloyd’s Market;nAwareness of Lloyd’s Principles and other regulatory regimes in which Inigo operates (UK Regulatory Requirements of FCA/PRA, SMCR, Solvency II);nCapability and appetite to operate in a small ‘hands-on’ team; andnEffective inter-personal skills to engage with different stakeholders across the business and build the right culture.
